Terms of Service

FirmCert is a service of Juke Brands LLC (Dallas, Texas). These Terms govern your firm's use of the FirmCert workspace and are entered into by the organization that creates the workspace ("the Firm"). By creating a workspace or using the service, the person accepting represents they have authority to bind the Firm.
1. The service
FirmCert produces draft English translations of documents the Firm uploads — including fields, stamps, seals, and notations, with unreadable content marked illegible — together with a certification page whose statement is aligned with 8 CFR § 103.2(b)(3), rendered on the Firm's letterhead. Translations are produced by our proprietary software pipeline combining commercial language-processing technology with our own formatting and quality systems; subprocessors are listed at /subprocessors.
The Firm reviews and certifies. FirmCert output is a draft until a person reviews it. Where a Firm member signs, that member is the certifying translator; where the Firm selects "no firm signer," the deliverable is Ready-to-Sign for a certifier the Firm designates. FirmCert and Juke Brands are not the certifying party, do not provide legal advice, and do not guarantee acceptance by any authority.
2. Accounts and signer integrity
Each member uses their own credentials; certifications are attributed to the signed-in member, and sharing credentials is prohibited (seats are free — invite colleagues instead). Only the designated signer's own authenticated session can sign a document. Departed members are deactivated, not deleted, preserving the identity attached to signed certifications and audit records.
3. The Firm's documents
The Firm retains all rights in uploaded documents and warrants it is authorized to process them, including under its obligations to its clients. Juke Brands receives a limited license to process, translate, store, and return them solely to provide the service. Uploads are malware-scanned; content is encrypted in transit and at rest; our language- processing providers operate under API terms that do not permit training on submitted content. 4. Fees
Subscriptions are billed monthly in advance (Starter $95/30 pages, Growth $199/75 pages); pages beyond the allowance bill automatically at $4.99 per page on the next invoice, with a usage warning at 80%. Trials are 5 documents, no card. Cancel any time via the billing portal, effective at period end. Prices may change with notice; changes apply from the next billing period.
5. Acceptable use
The Firm agrees not to upload documents it knows to be falsified, to use the service to produce misleading certifications, to probe or disrupt the service, or to resell raw engine access. FirmCert is designed for U.S.-filing contexts.
6. Disclaimers; liability
The service is provided "as is." No translation process is error-free — the Firm's review is part of the product design, not a formality. To the maximum extent permitted by law, Juke Brands' aggregate liability arising from the service is limited to the fees the Firm paid in the twelve months preceding the claim, and neither party is liable for indirect or consequential damages. Each party indemnifies the other against third-party claims arising from its own breach of these Terms.
7. Governing law; disputes
Texas law governs; exclusive venue for non-arbitrable matters is Dallas County, Texas. Disputes are resolved by binding individual arbitration under the AAA Commercial Arbitration Rules, except either party may seek injunctive relief in court for IP or confidentiality breaches.
8. General
These Terms, the Privacy Policy, and any executed DPA or order form are the entire agreement. Material changes are posted with a new date and notified to workspace admins. Contact for legal and support matters (Juke Brands LLC): [email protected].
